Section A - Terms of Trade for handfoot Online Shop

1. Introduction

These Terms of Trade (hereinafter referred to as the "ToT") govern the terms and conditions under which customers may conduct transactions with the online shop operated by handfoot (hereinafter referred to as the "Shop"). By placing an order through the Shop, customers agree to be bound by these ToT.

2. Definitions

In these ToT:

"Customer" means any individual or entity who places an order for goods or services on the Shop.

"Goods/Services" mean QR-codes and related items or services provided by handfoot in accordance with a Customer's specifications.

"Order" means a Customer's request to purchase Goods/Services on the Shop, including all associated information and selections made during the order process.

"Delivery" means the process of providing the Goods/Services to the Customer, either physically or through digital transfer, as applicable.

"Returns and Refunds" mean the process by which a Customer may request a refund for purchased Goods/Services under certain conditions.

3. Formation of Contract

A legally binding contract is formed when handfoot confirms an Order placed by a Customer on the Shop. This confirmation may be in the form of an email or other notification, depending on the circumstances. The contract shall be governed by Austrian law.

4. Price and Payment

1. Prices for Goods/Services are as displayed on the Shop at the time an Order is placed.

2. Payment methods accepted include PayPal, Visa, and other methods as specified on the Shop.

3. Transactions will be processed in Euro (€).

4. Taxes, shipping fees, and any applicable discounts or promotional offers will be applied as indicated on the Shop during the order process.

5. Delivery and Shipping

5.1 Delivery times for Goods/Services shall be as specified on the Shop at the time an Order is placed.

5.2 handfoot reserves the right to change delivery times and methods at its sole discretion, provided that it notifies the Customer of any significant changes.

5.3 Shipping fees shall be applied in accordance with the rates displayed on the Shop during the order process.

5.4 The risk of loss or damage to Goods/Services shall pass to the Customer upon Delivery.

6. Returns and Refunds

Due to the nature of the Goods/Services, handfoot is unable to accept returns under the EU's Consumer Rights Directive (2011/83/EU). Consequently, refunds will not be provided unless otherwise agreed in writing by handfoot.

7. Intellectual Property Rights

7.1 handfoot retains all intellectual property rights, including copyright and trademark rights, in the Goods/Services it provides.

7.2 Customers shall use the Goods/Services solely for their intended purpose and shall not copy, modify, or distribute them without the express written consent of handfoot.

8. Warranties and Disclaimers

8.1 handfoot warrants that the Goods/Services will be provided with reasonable skill and care.

8.2 Except as specifically provided in these ToT, all other warranties, conditions, or representations are excluded to the extent permitted by law.

9. Governing Law

These ToT shall be governed by and construed in accordance with Austrian law. Any disputes arising from or relating to these ToT shall be subject to the exclusive jurisdiction of the courts of Austria.

10. Amendments

handfoot reserves the right to amend these ToT at any time without prior notice. The Customer's continued use of the Shop following any such amendment shall be deemed acceptance of the revised ToT.

11. Severability

If any provision of these ToT is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12. Entire Agreement

These ToT, together with any additional terms provided at the time of an Order, constitute the entire agreement between handfoot and the Customer with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written, relating to such subject matter.

13. Dispute Resolution and Arbitration

In the event of any dispute arising out of or in connection with these ToT, the parties shall endeavor to resolve the dispute amicably through negotiation. If the parties are unable to reach a settlement within a period of sixty (60) days from the date on which either party provides notice to the other party of the existence of the existence of the dispute, either party may, by notice in writing to the other party, require that the dispute be referred to arbitration administered by the Bezirksgericht Kufstein. The arbitration shall be conducted under and governed by the laws of Austria, without regard to its conflict of law principles.
